AZEION TERMS AND CONDITIONS OF SERVICE
BY ACCESSING OR USING ANY SERVICES YOU ARE DEEMED TO HAVE AGREED TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IT IS YOUR RESPONSIBILITY TO ENSURE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND ANY ACCOMPANYING RISKS AND OBLIGATIONS.
These terms & conditions (these "Terms") are between:
(1) Azeion Pte. Ltd., a company incorporated under the laws of Singapore ("Azeion");
and
(2) "You", a "Client", who is a company or individual that engages or intends to engage Azeion's business concierge services to coordinate corporate services through Azeion's network of trusted Corporate Service Providers.
(Azeion and You are hereinafter referred to individually as a "Party," and collectively as the "Parties")
Recitals:
A. Azeion provides business concierge services, acting as a coordinator and intermediary between Clients and registered Corporate Service Providers ("CSPs") for the provision of corporate services in Singapore (the "Services");
B. You intend to engage Azeion to coordinate some or all of the Services on your behalf, subject to these Terms.
1.1 Azeion acts as a business concierge, coordinating the following corporate services through its network of trusted Corporate Service Providers. These services may include, but are not limited to:
1.2 Azeion does not directly provide the above corporate services. Azeion's role is to act as your dedicated concierge — assessing your needs, connecting you with appropriate CSPs from our vetted partner network, and coordinating the workflow on your behalf.
1.3 The actual corporate services will be delivered by the respective CSPs, who are independent registered professionals. The terms, pricing, and scope of work for each service will be governed by the agreement between you and the relevant CSP.
2.1 You agree to provide accurate, complete, and up-to-date information as reasonably required by Azeion and/or the relevant CSPs to facilitate the provision of Services.
2.2 You acknowledge that delays or inaccuracies in providing required information may result in delays in service delivery and that Azeion shall not be held liable for such delays.
2.3 You agree to cooperate with Azeion and the relevant CSPs in good faith throughout the service coordination process.
2.4 You are responsible for reviewing and agreeing to the terms and conditions of any CSP engaged through Azeion's coordination.
3.1 Fees for services coordinated through Azeion will be communicated to you prior to the commencement of any engagement. Fees may include Azeion's concierge coordination fee and the fees charged by the relevant CSPs.
3.2 All fees are quoted in Singapore Dollars (SGD) unless otherwise stated.
3.3 Payment terms will be specified in the relevant service agreement or quotation provided to you. Late payments may incur additional charges as specified in the applicable agreement.
3.4 Azeion reserves the right to modify its fees at any time. Any changes to fees will be communicated to you in advance and will not affect services already agreed upon.
4.1 Both Parties agree to keep confidential all information received from the other Party in connection with these Terms and the Services, except where disclosure is required by law, regulation, or court order.
4.2 Azeion may share your information with CSPs in its partner network solely for the purpose of coordinating and delivering the Services you have requested. Such sharing is subject to the obligations set out in our Privacy Policy.
5.1 All intellectual property rights in the Azeion website, branding, content, and materials remain the property of Azeion Pte. Ltd.
5.2 No part of the Azeion website or materials may be reproduced, distributed, or modified without prior written consent from Azeion.
6.1 To the fullest extent permitted by law, Azeion and its directors, officers, employees, and agents expressly limit their liabilities in connection with these Terms and the Services.
6.2 Azeion acts as a coordinator and intermediary. Azeion is not responsible for the quality, accuracy, timeliness, or completeness of the corporate services delivered by the CSPs. Any claims relating to the services provided by a CSP should be directed to the relevant CSP.
6.3 Azeion will make every effort to connect you with reputable and vetted CSPs; however, Azeion does not guarantee or warrant the performance of any CSP.
6.4 Neither Party shall be liable for any indirect, special, incidental, punitive, exemplary, or consequential losses or damages arising out of or in connection with these Terms.
6.5 Any liability of Azeion to the Client shall be limited to the total amount of concierge coordination fees paid by the Client to Azeion in the twelve (12) months preceding the event giving rise to such liability.
7.1 You agree to indemnify, defend, and hold harmless Azeion and its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or in connection with:
8.1 Either Party may terminate the engagement by providing written notice to the other Party.
8.2 Upon termination, any outstanding fees for services already coordinated or in progress shall remain payable.
8.3 Termination of the engagement with Azeion does not automatically terminate any agreements you may have with CSPs. You are responsible for managing your relationship with CSPs directly upon termination.
Neither Party shall be liable for any failure to perform or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, civil unrest, or technical failures.
10.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.
10.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
11.1 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.2 These Terms constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior agreements, understandings, and representations.
11.3 Azeion reserves the right to amend these Terms at any time. Updated Terms will be published on the Azeion Website. Your continued use of our Services after any amendments constitutes acceptance of the revised Terms.
